Brazil’s first union gas auction: a new contracting landscape for industrial consumers

Brazil has taken an important step toward expanding competition in its natural gas market.

On October 22, Pré-Sal Petróleo S.A. (PPSA) successfully concluded its first direct auction of natural gas belonging to the Union, allocating all 110 lots offered, equivalent to 1.1 million m³/day, to 23 industrial companies.

The auction covered gas supplies scheduled between March and December 2027 and was restricted to five industrial segments: chemicals and petrochemicals; steel, metallurgy and mining; ceramics; glass; and nitrogen fertilizers.

The pricing mechanism was based on 115% of the Henry Hub benchmark plus a premium offered by each bidder, with a minimum premium of US$1.80/MMBtu.

The average winning premium reached US$2.44/MMBtu, approximately 35% above the minimum. Based on the reference assumptions used by PPSA, the estimated gas price was approximately US$5.83/MMBtu.

This represents an important departure from the previous commercial model, under which PPSA sold the Union’s natural gas to Petrobras rather than offering it directly to industrial consumers.

Market Impact

The auction demonstrates substantial industrial interest in alternative natural gas supply arrangements.

Its results also reveal different levels of willingness to pay across industrial sectors, with average premiums ranging from US$1.82/MMBtu for nitrogen fertilizers to US$4.01/MMBtu for glass manufacturers.

For industrial consumers, the new model may provide opportunities to diversify gas procurement and reduce dependence on traditional supply arrangements.

For the broader market, direct commercialization of the Union’s gas may contribute to greater liquidity, competition and price transparency.

However, the economic attractiveness of individual contracts will continue to depend on transportation arrangements, applicable taxes, delivery conditions and the evolution of international gas benchmarks.

Legal & Contractual Implications

The auction creates a new contracting environment requiring careful assessment of:

  • Gas supply agreements: defining contracted volumes, delivery obligations, scheduling and operational flexibility.
  • Price indexation: evaluating exposure to Henry Hub fluctuations, exchange-rate movements and the premium established in the auction.
  • Transportation and distribution: assessing access to infrastructure, transportation capacity and costs not necessarily reflected in the gas molecule price.
  • Credit support: reviewing payment guarantees, default provisions and financial exposure.
  • Operational risk allocation: addressing interruptions, delivery failures, force majeure and potential penalties.
  • Regulatory compliance: ensuring compatibility with the applicable free-consumer framework and ANP regulations.

For industrial buyers, the auction’s outcome should not be assessed solely by comparing the estimated gas molecule price with existing supply contracts.

A comprehensive evaluation should consider the total cost of delivered gas, contractual flexibility and the allocation of operational and financial risks.

For international companies operating industrial facilities in Brazil, the development may also create opportunities to reassess long-term energy procurement strategies and negotiate more competitive supply structures.
