Foreign capital targets Brazil’s largest energy assets

Foreign investors accounted for approximately 60% of the disclosed value of energy-sector M&A transactions in Brazil between July 2023 and June 2026, according to data analyzed by Acorn Advisory.

International buyers represented only 30.7% of acquisitions of control during the period, indicating that foreign capital has been disproportionately concentrated in larger transactions.

Generation assets represented approximately half of the foreign acquisitions analyzed, led by solar, wind and hydroelectric projects, while transmission and distribution also attracted significant capital.

Market Impact

The trend may support:

  • continued consolidation of renewable generation portfolios
  • recycling of capital by established energy groups
  • acquisitions of regulated infrastructure assets
  • entry of new international infrastructure investors
  • greater competition for mature and operational projects
  • increased demand for structured financing and acquisition platforms

For international investors, regulated or contracted assets remain particularly attractive because predictable revenues and inflation-linked structures may support longer-term financing.

Legal & Contractual Implications

Cross-border energy acquisitions require careful analysis of:

  • regulatory approvals and change-of-control requirements
  • concession and authorization restrictions
  • project-finance change-of-control provisions
  • environmental and land liabilities
  • power purchase and commercialization agreements
  • tax and corporate structuring
  • foreign investment and financing arrangements
  • representations, indemnities and post-closing liabilities
